1. Company Information
The AGNTCY Ltd. is a company registered in the Ajman Free Zone, United Arab Emirates. References to "The AGNTCY", "we", "us" or "our" in these Terms refer to The AGNTCY Ltd. By accessing theagntcy.ae or engaging our services, you agree to be bound by these Terms.
2. Services
The AGNTCY provides AI employee design, build and deployment services, including but not limited to: AI employee scoping and strategy; system design and build; integration with third-party tools and platforms; ongoing optimisation and support. All services are governed by individual service agreements (Statements of Work or equivalent) agreed in writing prior to project commencement. These Terms apply in addition to any such agreements.
3. Acceptance of Terms
By accessing this website or entering into a service engagement with The AGNTCY, you confirm that you have read, understood and agree to these Terms. If you do not agree to these Terms, you should not use this website or engage our services.
4. Service Delivery
We commit to delivering AI employees within the timelines agreed in the relevant Statement of Work. Our standard build timeline is 14 days from design sign-off. Timelines are contingent on timely provision of required information, access and approvals from the client. We cannot be held liable for delays caused by client-side dependencies.
5. Payment Terms
Payment terms are outlined in the relevant service agreement. Unless otherwise agreed, invoices are due within 14 days of issue. Late payments may incur interest at 3% per month on the outstanding balance. Ownership of deliverables transfers to the client only upon receipt of full payment.
6. Intellectual Property
All proprietary methodologies, frameworks and pre-existing intellectual property developed by The AGNTCY remain the property of The AGNTCY Ltd. Upon full payment, the client is granted a non-exclusive licence to use the AI employee build for their own internal business purposes. All content, branding and materials on this website are the property of The AGNTCY Ltd. Reproduction or distribution without prior written consent is prohibited.
7. Confidentiality
Both parties agree to keep confidential any information shared during the course of a service engagement that is designated as confidential or that a reasonable person would understand to be confidential. This obligation survives the termination of any service agreement.
8. Limitation of Liability
To the fullest extent permitted by applicable law, The AGNTCY shall not be liable for any indirect, consequential, incidental or special damages arising from the use of our services or website. Our total aggregate liability to any client shall not exceed the total fees paid by that client in the three months preceding the relevant claim.
9. Warranties and Disclaimers
We warrant that our services will be performed with reasonable care and skill. We do not warrant that AI employees will operate without error or interruption in all circumstances. Results, including ROI targets discussed during scoping, are projections and not guarantees. We are not responsible for the accuracy of outputs where input data provided by the client is incomplete or inaccurate.
10. Termination
Either party may terminate a service engagement in accordance with the terms of the relevant service agreement. In the absence of specific termination provisions, 30 days written notice is required. Termination does not affect accrued rights or obligations.
11. Governing Law
These Terms are governed by the laws of the United Arab Emirates and, where applicable, the laws of the Ajman Free Zone. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the United Arab Emirates.
12. Amendments
We reserve the right to update these Terms at any time. Material changes will be communicated on this page. Continued use of this website or our services following any such changes constitutes acceptance of the revised Terms.
